These Terms & Conditions ("Terms") govern your use of LogicFunder (the "Platform"), operated by 305 Ventures Corp ("we," "us" or "our"). By signing in or using the Platform, you agree to these Terms.

1. Who Can Use the Platform

The Platform is available only to people we invite, such as our staff and syndication participants, and only for business purposes. Your access is personal to you and to the business you represent.

2. Your Account

You are responsible for keeping your password confidential and for all activity under your account. Tell us right away at support@logicfunder.com if you suspect unauthorized access. We may suspend or disable an account at any time, including to protect the Platform or other users.

3. Information on the Platform

The Platform gives you a view of your participations, collections, fees, payments and related reports. We work to keep this information accurate, but it is provided for your convenience. Your signed participation or syndication agreement and our official statements control if they differ from what the Platform shows. Figures may change as payments are posted, returned, corrected or reconciled. If you believe something is wrong, please contact us promptly.

4. No Advice; No Offer

Nothing on the Platform is investment, legal, tax or accounting advice, or an offer to sell or a solicitation to buy any security or investment. Past collections do not guarantee future results. Merchant cash advances involve risk, including the loss of the amount invested.

5. Acceptable Use

You agree not to:

• share your login or let anyone else use your account;
• try to access information that belongs to other users, or parts of the Platform you are not authorized to use;
• interfere with, probe, or disrupt the Platform or its security; or
• copy, resell or share merchant or deal information except as allowed by your agreements with us.

6. Confidentiality

Merchant, deal and account information on the Platform is confidential. You may use it only to manage your own participation and must protect it at least as carefully as your own confidential information.

7. Intellectual Property

The Platform, its software and its design belong to us or our licensors. We grant you a limited, revocable, non-transferable right to use the Platform for its intended purpose while your access is active.

8. Availability

We aim to keep the Platform available but do not guarantee it will be uninterrupted or error-free. We may change, suspend or discontinue any part of it at any time.

9. Disclaimers and Limits of Liability

The Platform is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising from your use of the Platform. Our rights and obligations regarding any investment are governed by your participation or syndication agreement, not by these Terms.

10. Changes

We may update these Terms from time to time. The "Last updated" date above shows when they last changed. If you keep using the Platform after a change, the updated Terms apply.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute about these Terms will be brought in the state or federal courts located in Miami-Dade County, Florida, unless your participation agreement says otherwise.
